Aims
An in-depth analysis of certain contracts, the general rules of which were explained in Contract Law I, is used to teach the principles that govern special contracts not studied in Contract Law I, and to develop the ability to resolve moderately complex practical problems relating to contracts.
Main themes
This course deals with contracts which are not examined in Contract Law I, such as the usufructuary lease, the commercial lease, and commercial and international sales. Different contracts which arise through developments in the business world, such as the leasing, factoring and outsourcing contracts, are l also studied. We also examine contracts linked to company strategies and company financing. Commercial distribution contracts (sales concessions, agency, franchise) and guaranty contracts (security, independent guarantee, letter of patronage) are also part of our studies.
Content and teaching methods
In- depth study of various contracts, such as filing and sequestration, a company construction contract, a commercial lease contract, guaranty contracts (security, independent guarantee and letter of patronage) and distribution contracts and commercial intermediation or a sales concession contract.
The teaching method encourages student participation in case studies and readings.
