Aims

The aim of this seminar is to allow students to make a more detailed study of certain subjects. The general theme of the seminar changes every year. It is versatile enough to be divided into about fifteen related subjects linked by a common set of problems.

Content and teaching methods

Topic: Information

The issue of information is a central stake of the life of the companies. It fosters eternal tensions. The subject of the seminar initially consists in identifying and discussing the goals of information according to various categories of actors within companies (individual administrator, board of directors, minority shareholder, majority shareholder, shareholder's meeting, auditors, creditors, controlling authorities, markets and investors, etc). A distinction will be established between the private companies on the one hand and the public or listed companies on the other hand. A second objective of the seminar is to discuss the rights and obligations of each one of these actors, individual or organic, in connection with information (access to information, treatment and control of information, communication, confidentiality, etc).
The participants in the seminars are invited to develop a critical and rather illustrated reflexion than to establish an inventory of the substantive law on the matter. The approach is at the same time theoretical and practical, national and comparative. The recommendations as regards corporate governance will be also taken into account, in particular through the analysis of the Charters of corporate governance, with the publication of which the listed companies are held since January 1, 2006. After an introductory meeting, the general organization of the seminar, the choice of the subjects and the planning of work will be established in dialogue between the professor and the students.
