Aims
The aim of this seminar is to allow students to make a more detailed study of certain subjects. The general theme of the seminar changes every year. It is versatile enough to be divided into about fifteen related subjects linked by a common set of problems.
Main themes
Theme: modernisation of company law
The subject of the seminar for the 2004-2005 academic year is the modernisation of company law. This modernisation is on the agenda of the European Commission
In May 2003 the European Commission published a communication entitled "Modernisation of Company Law and Enhancement of Corporate Governance in the European Union - a Plan to Move Forward" and launched a series of consultations on specific themes. The object of this seminar is to study some of these themes, such as the independence of directors, their remuneration and responsibility, conflicts of interests, role of nomination, remuneration and audit committees, independence of auditors, the strengthening of shareholders' rights, better information on corporate governance. These subjects are studied from both theoretical and practical points of view.
Content and teaching methods
A dual approach is required from students: an oral presentation of the results of their research and a written paper. The participants regularly share the findings of their research and the difficulties they encounter. During the first term, specialists are invited to speak to students on subjects related to the theme of the seminar. Each student is graded individually on the seminar. The grade takes into account the work done during the year, active participation in the discussion groups, the quality of the oral presentation and the written paper.
The presentation of written papers takes place during a residential seminar at the end of November 2005.
