Main themes
The course studies, from a notary point of view, the shapes of the most usual companies, on a theoretical basis completed with a practical dimension such as the notary can meet in his professional practice. An inversion of the reasoning will be possible : one will go from the up the theory, by induction. The mission of the notary will be defined, and in particular of the central role of coordination that he plays in an often multi-professional field (related to promoters or persons in charge of the company, but also to the certified public accountants, company revisers, tax advisers, lawyers, etc). The accent is posed on the role of the notary as well as the tax implications resulting from each studied deed. The course will also study non-profit associations and foundations.
Learning outcomes

At the end of this learning unit, the student is able to :

1 The course aims to give to the students the theoretical and practical tools to allow them to approach the drafting of the most used company deeds (limited liability companies, SPRL, cooperative company) and other private law juridical persons (non-profit associations, foundations) and in particular the constitution, modification of the statutes, the increase and the reduction of capital, the liquidation, dissolution and closure, fusion and the scission.
