This course brings together two aspects of particular contracts which, as the title suggests, are to be discerned.
The first part of the course affects credit law. The legal dispositions concerning consumer credit and mortgage credit are studied. Special attention, be it in general terms, will be paid to the credit institutions' liability in case credit is allowed as well as in case a request for credit is denounced.
The second part of the course affects distribution law. The most common contractual formulas are studied (trade representation contract, commercial agency contract, (sales) distribution contract and franchising contract). A chronological approach will be followed, starting from the precontractual negotiations and the coming to an agreement, up to the execution and the termination of the contractual relationship. This approach will uncover the similarities and differences between the distinct contracts, which contributes to their clear comprehension faced with the demands in practice.
Method. Not only the applicable legislation will be studied, but also the basic assumptions and the possibility of their conversion into contracts. Whenever possible, comprehension will be furthered by the analysis of case law or " standard " clauses.
